NO. 30947 DEPARTMENT OF PUBLIC SERVICE REGULATION BEFORE THE PUBLIC SERVICE COMMISSION OF THE STATE OF MONTANA In re NorthWestern Energy’s, Energy West Montana, Inc.’s, and Cut Bank Gas Company’s Joint Application for Approval of the Purchase and Sale of Assets and Associated Relief Docket 2024.08.088 January 31, 2025 Notice of Public Hearing 1. On August 28, 2024, NorthWestern Corporation d/b/a NorthWestern Energy, Energy West Montana, Inc. (“EWM”), and Cut Bank Gas Company (“CBGC”) (together “Joint Applicants”) filed with the Montana Public Service Commission (“Commission”) a Joint Application for Approval of the Purchase of Sale of Assets (“Joint Application”).  2. The Joint Applicants represent that they have entered an Asset Purchase Agreement in which NorthWestern Energy agreed to purchase certain assets and liabilities of Energy West Montana Inc. (“EWM”) and Cut Bank Gas Company (“CBGC”) for a base purchase price of $39 million. The Asset Purchase Agreement requires Commission approval. If the Commission approves the transaction, Joint Applicants represent that EWM and CBGC will no longer operate as public utilities in Montana, and NorthWestern Energy will provide gas distribution service for EWM’s and CBGC’s customers going forward. 3. PLEASE TAKE NOTICE that the Commission will conduct a public hearing on the Joint Application. The public hearing will commence on February 20, at 9:00 a.m., in the Commission’s Bollinger Conference Room, 1701 Prospect Avenue, Helena, Montana 59601, and continue day-to-day as necessary. The Commission will provide an opportunity for in-person public comment at the beginning of each hearing day, and the Commission’s website (psc.mt.gov) will have a link to a live stream of the hearing.  4. The hearing is for the purpose of receiving evidence (testimony and exhibits) addressing the Joint Application. Testimony submitted at the hearing is subject to cross-examination. The Commission will evaluate the Joint Application and evidence presented by Joint Applicants and the Montana Consumer Counsel (“MCC”). The parties may waive formal proceedings pursuant to Montana Code Annotated § 2-4-603. 5. Copies of the Joint Application are publicly available at the Commission’s business office, 1701 Prospect Avenue, Helena, MT 59601, and online at the Commission’s website (psc.mt.gov) under Docket No. 2024.08.088. A copy of the Joint Application may also be available at the office of the MCC, which represents consumer interests before the Commission, 111 North Last Chance Gulch, Suite 1B, Helena, MT 59601, (406) 444-2771. Interested parties can register on the Commission’s website to receive notice of filings in this docket.
